dgen Constellation is a private member directory operated by Dgen Network Limited. It allows invited members to maintain a public profile, connect with others in the network, and be discovered by fellow members based on shared interests and skills.

This policy explains what personal data the service holds, why it is held, and what rights you have. It covers d.cl8.io only, not any connected third-party services.

dgen Constellation is a closed, invited service. Access requires approval from an administrator. This policy applies to all members with an account.

Account data, provided when you sign in or register:

Sessions. A session token is set as an HttpOnly, SameSite=Lax cookie lasting 7 days. Session data is held in server memory only and is not written to disk. Signing out invalidates the session immediately.

We hold your data on the basis of legitimate interest and performance of a service you have requested. Account data is necessary to identify you and enforce access control. Profile data is the primary purpose of the service. Sessions are necessary for authenticated access.

All data is stored on servers operated by Dgen Network Limited within the European Union. Data does not leave these servers except as described in section 5. There are no third-party data processors. Member and profile data are stored as JSON files on the server filesystem.

Profile data is retained for as long as your account is active. You may request deletion of your account and all associated data at any time by contacting us. Session tokens expire after 7 days or on sign-out. Uploaded photos are retained until you replace them or your account is deleted.

Under UK GDPR you have the right to access a copy of all data held about you; to correct inaccurate data (your name, bio, and links can be updated in your profile at any time); to request erasure of your account and associated data; to receive your profile data in a portable format; and to object to processing (the practical result of which is account removal). You may also lodge a complaint with the Information Commissioner's Office at ico.org.uk.

dgen Constellation is not open to the public. Access requires explicit approval from an administrator. The operator reserves the right to revoke access at any time. Suspended accounts cannot sign in but profile data is retained until deletion is requested.

This service is not intended for anyone under 16. If you believe a minor has been granted access, please contact us immediately.

Material changes will be communicated to active members via the service or by email. Continued use constitutes acceptance.

You own what you share

Your profile and the information on it are yours. dgen Constellation does not claim any licence over your content, does not surface it for advertising, and does not share it with third parties. You may update or remove your profile at any time.

Profiles are public to members

Your profile is visible to all authenticated members of dgen Constellation. Write your bio and add links as though any member can read them, because they can. Accuracy and honesty are expected as standard.

No harassment, no hate

Any conduct that harasses, demeans, or threatens individuals, or that promotes hatred on the basis of race, gender, sexuality, religion, disability, nationality, or any other characteristic, will result in immediate access revocation. This is non-negotiable.

No scraping or redistribution

Member profiles and contact details are shared within the community in a spirit of trust. You must not scrape, export, or redistribute member information, in whole or in part, without explicit written permission from dgen. This includes feeding member data into automated systems or third-party services.

Protect your account

Your account gives access to the profiles of all members. Keep your credentials secure. Do not share your session or allow others to use your account. Notify us immediately at cl8@dgen.net if you believe your account has been compromised.

This is a curated space

dgen Constellation is a human, trusted directory, not a public platform. Members have been invited because they are part of the dgen network. Treat the space and your fellow members accordingly.

Enforcement

Dgen Network Limited has sole discretion to revoke access for any breach of this code, or for any conduct that undermines the spirit of the service even if not explicitly listed here. There is no formal appeals process. This is a trusted community, not a public platform.

dgen Constellation is a private member directory operated by Dgen Network Limited ("we", "us", "the operator"). It allows approved members to maintain a profile and connect with others in the dgen network.

These terms govern your use of d.cl8.io ("the service"). By signing in, you agree to them.

Access to dgen Constellation is by approval only. An administrator must approve your account before you can sign in. We reserve the right to grant or revoke access at any time, without notice and without giving reasons.

You must be at least 16 years old to use the service. By signing in you confirm you meet this requirement. Access is personal to you and you may not share your account or session with another person.

You retain full ownership of everything you add to your profile. We do not claim any licence over your content and do not use your profile information for advertising, model training, or any purpose other than operating the service as described.

By creating a profile you confirm that the information you provide is accurate, that it does not infringe any third party's rights, and that it complies with the laws of England and Wales.

Your profile is visible to all authenticated members of dgen Constellation. You control what information appears on your profile and may update or hide it at any time. Do not add information to your profile that you do not wish other members to see.

You must not use dgen Constellation to:

• Add content that is unlawful, defamatory, harassing, or that incites hatred
• Infringe the intellectual property rights of any person
• Scrape, export, or redistribute member data without explicit written permission
• Attempt to circumvent access controls or exploit the service
• Represent yourself as another member or impersonate any person

Breach of these terms may result in immediate access revocation.

dgen Constellation is operated on a best-efforts basis as a community tool. We make no guarantee of uptime, availability, or continuity of service. There is no formal support SLA. We will endeavour to respond to issues reported to cl8@dgen.net but cannot commit to response times.

Our Privacy Policy sets out how we collect, use, and protect your personal data. It is incorporated into these terms by reference and is available on the Privacy Policy tab above.

Dgen Network Limited operates hosting infrastructure within the European Union. All service data, including your profile and account information, is stored on servers within the EU.

The cl8 software is developed by Dgen Network Limited with assistance from AI tools. The name "dgen Constellation" and the service design are the intellectual property of Dgen Network Limited. These terms do not transfer any intellectual property rights in the software to you.

To the maximum extent permitted by law, we provide the service "as is" without warranties of any kind. We are not liable for any loss of data, loss of profile content, or any indirect or consequential loss arising from your use of the service.

Nothing in these terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

Either party may end the relationship at any time. You may request deletion of your account by emailing cl8@dgen.net. We may revoke access at any time, including for breach of these terms, inactivity, or at our sole discretion. On termination, profile data is retained for 30 days before deletion unless you request immediate deletion.

These terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these terms at any time. Material changes will be communicated to active members by email or via the service. Continued use after a change constitutes acceptance.

‘Pitchable’ additional terms

1.1 Dgen will:

• act as primary contractor with its clients on a case-by-case basis;
• treat you as a preferred but non-exclusive supplier of services that match your skills;
• represent you only in ways that you and we have approved in advance, including on the Dgen website and in pitch materials;
• not include you in any pitch without prior discussion and your involvement in its preparation.

1.2 You will:

• represent yourself as a Dgen Constellation Member when working with Dgen clients, to maintain continuity;
• provide services to the best of your ability and give due professional consideration to client scheduling needs;
• be responsible for all applicable taxes, including PAYE and VAT;
• use reasonable commercial endeavours to adhere to any programmes, policies or principles agreed with Dgen from time to time;
• not subcontract or assign your obligations under this Agreement without prior written consent.

1.3 Your status

You are a freelancer to Dgen, not an employee. You are free to work for others at any time. Nothing in this Agreement creates an employment, agency or partnership relationship.

1.4 Pitchable status

By selecting Pitchable in the dgen Constellation directory at d.cl8.io, you confirm that you accept the terms of this Agreement and consent to being included in relevant Dgen pitches, subject to the prior discussion described in clause 1.1.

2.1 Open-by-default

Dgen operates an open-by-default policy. Unless otherwise agreed in writing, relevant software, data, documents and related works will be released under an appropriate open-source licence (such as GPL or MIT) and/or Creative Commons licence.

2.2 New IP created under this Agreement

Any intellectual property rights in work that generates new IP and that you are involved in producing will vest in Dgen, unless otherwise agreed in writing in advance. This clause is intended to allow Dgen to licence works openly and to meet client licensing requirements. Both parties agree it does not operate harshly.

Your pre-existing IP is not affected. This clause applies only to new IP created as part of Dgen-commissioned work. It does not transfer ownership of any tools, methodologies or materials you bring to the engagement.

Note: Your profile content on the Cl8 directory remains yours in full, as set out in the Cl8 Terms (section 3 of those terms).

2.3 Confidentiality

You will have access to personal data, confidential information, working methods and business development strategies relating to Dgen, its members and its clients. You must not disclose any such information to a third party without explicit authorisation.

You warrant that you will comply with all applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018. Client engagements may impose additional confidentiality or IP requirements, which you agree to abide by.

3.1 Notice

Unless otherwise agreed in writing, either party may end this Agreement on 10 working days' written notice.

3.2 Immediate termination by Dgen

Dgen may terminate this Agreement immediately if:

• you commit a material or persistent breach of its terms;
• you act in a way that, in Dgen's reasonable opinion, brings or is likely to bring Dgen into disrepute.

3.3 Effect of termination

• Termination does not affect any accrued rights or liabilities of either party.
• Clauses 2 (IP and confidentiality), 3.4 (post-termination obligations) and 7 (law and jurisdiction) survive termination.
• Your Pitchable status on the Cl8 directory will be removed. Profile data will be handled in accordance with the Cl8 Terms.

3.4 Post-termination obligations

After this Agreement ends, you must not:

• disclose any confidential information about Dgen, its associates or its clients in a way that is detrimental to any of them;
• solicit, disintermediate or seek to take over any Dgen client relationship without Dgen's prior written approval, such approval not to be unreasonably withheld.

These obligations apply for a reasonable period after termination, consistent with the protection of legitimate business interests.

4.1 Scope

The scope of each engagement and your fees will be agreed in writing at the time of commissioning. No expenses will be paid unless agreed in writing in advance.

4.2 Payment

Your fees will be paid within 20 working days of the agreed invoice date. You are responsible for all tax due on your fees.

4.3 Cancellation

If Dgen cancels commissioned work, it will give as much notice as possible. Fees will be paid to the point where work ceases, with reasonable consideration given to progress made, time spent and proximity to agreed milestones. Where a significant proportion of agreed work has been completed, a fair kill fee will be agreed.

4.4 Quality and delivery

If the quality of your deliverables is reasonably deemed inadequate, or deadlines are missed without prior consultation, Dgen reserves the right to reduce your fees or terminate this Agreement. It is your responsibility to flag potential shortfalls in advance and propose options for resolution.

5.1 Remediation

You will take appropriate and reasonable steps to remedy any defect in services for which you are responsible and will notify Dgen immediately of any issue.

5.2 Insurance

If required by a specific client engagement, you will maintain appropriate insurance, including professional indemnity insurance. Dgen maintains its own professional indemnity insurance.

5.3 Limitation of liability

To the extent permitted by law, Dgen's liability to you under or in connection with this Agreement is limited to direct losses arising from Dgen's breach of its obligations. Dgen is not liable for any indirect, special or consequential loss, including loss of profit or loss of or damage to equipment.

Nothing in this Agreement limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.

Your use of the dgen Constellation directory at d.cl8.io is governed by the Cl8 Terms (d.cl8.io/terms), which include the Privacy Policy, Code of Conduct and Terms of Service. Those terms govern data protection, acceptable use of the platform, profile ownership and access control.

This Agreement governs the commercial relationship between you and Dgen. Where the two documents address the same matter, this Agreement takes precedence on commercial matters and the Cl8 Terms take precedence on platform use and personal data.

7.1 Entire agreement

This Agreement (together with the Cl8 Terms) constitutes the entire agreement between the parties and supersedes all prior communications and representations. Neither party has relied on any oral or written representation not set out here.

7.2 Amendments

Material changes to this Agreement will be communicated to Constellation Members with reasonable notice before taking effect. Continued acceptance of Pitchable status after that notice period constitutes acceptance of the updated terms.

7.3 Governing law and dispute resolution

This Agreement is governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.

As a condition precedent to court proceedings, both parties agree to attempt amicable resolution through an Alternative Dispute Resolution procedure as recommended by the Centre for Dispute Resolution, London.
